You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction to open an account. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

Access to certain investment products may be restricted to accredited, professional, or institutional investors as defined by applicable securities laws. We may require you to complete identity verification (KYC) and provide supporting documentation before your account is activated or before you may transact.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or security breach.

All investments carry risk, including the possible loss of principal. Investments in alternative assets, digital assets, and securities are speculative and involve a substantial degree of risk. They are not suitable for all investors, and you should only invest capital you can afford to lose.

Past performance is not indicative of future results. Projected or targeted returns are estimates only and are not guaranteed. The value of investments can go down as well as up, and you may not recover the amount originally invested.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform to engage in fraud, market manipulation, money laundering, or any activity that violates applicable law or regulation.

You must not attempt to gain unauthorized access to any part of the Platform, interfere with its operation, introduce malicious code, or circumvent any security or access controls. Automated scraping, data mining, or use of the Platform to build a competing service is prohibited.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business use. All intellectual property rights in the Platform remain the property of Cetera Finance and its licensors.

Applicable fees, including management fees, performance fees, and transaction charges, are disclosed within the Platform prior to your entering into any transaction. You authorize us to deduct such fees from your account balance or investment proceeds.

Deposits and withdrawals are processed in accordance with our operational procedures and may be subject to verification, minimum amounts, and processing times. We reserve the right to delay or decline transactions where required for compliance or risk-management reasons.

You may close your account at any time, subject to the settlement of any open positions and outstanding obligations. We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, if required by law or regulation, or if we reasonably believe your account is being used for unlawful or high-risk activity.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including risk disclosures, limitations of liability, and dispute resolution — will continue to apply.

To the maximum extent permitted by law, Cetera Finance and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or investment losses, arising from your use of the Platform.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered under the rules of a recognized arbitral body, except where prohibited by applicable law.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action, to the extent permitted by law. Certain regulatory bodies may also provide avenues for complaint resolution.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Cetera Finance is incorporated, without regard to conflict-of-law principles. The courts of that jurisdiction shall have exclusive jurisdiction, subject to any mandatory consumer protection or regulatory provisions applicable to you.

We may amend these Terms from time to time. Material changes will be notified to you, and your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
